These Terms and Conditions ("Terms") govern your access to and use of websites, web applications, mobile applications, desktop applications, APIs, software systems, dashboards, portals, integrations, databases, hosting services, consulting services, technical services, development services, maintenance services, support services, and related products or services provided by FIWB Solutions LLC, a Delaware limited liability company ("FIWB Solutions," "FIWB," "Company," "we," "our," or "us"). They cover, in particular, the website at fiwbsolutions.com, the Client Portal at portal.fiwbsolutions.com, and the FIWB Portal mobile app.
By accessing our website, requesting services, using our software, using our APIs, using an account we have created for you, submitting information, accepting a proposal, signing a statement of work, paying an invoice, or otherwise using any FIWB Solutions service, you agree to these Terms. Every form on our website has a checkbox by which you confirm this agreement before the form can be sent; we record that confirmation, when it was given, and the version of our Privacy Policy shown at the time.
If you are using the services on behalf of a company, organization, client, or other legal entity, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, you may not use our services.
These Terms apply generally to FIWB Solutions' services. Some projects or services may also be governed by a separate proposal, quote, invoice, statement of work, master services agreement, software license agreement, data processing agreement, confidentiality agreement, hosting agreement, maintenance agreement, or other written contract.
If there is a conflict between these Terms and a signed written agreement between you and FIWB Solutions, the signed written agreement will control for that specific project or service.
No oral statement, message, email, text, meeting discussion, estimate, or informal communication changes these Terms unless it is confirmed in a written agreement signed or clearly accepted by FIWB Solutions.
FIWB Solutions provides technology and software-related services, which may include:
The exact scope of work for any project will be defined in the applicable proposal, statement of work, invoice, written communication, or service agreement.
You may use our services only if you are legally able to enter into a binding agreement.
If you use our services on behalf of a company, organization, nonprofit, agency, client, or other entity, you represent and warrant that:
Some FIWB Solutions services may require an account, login, API key, token, credential, role, or other access method.
Client Portal and FIWB Portal app accounts are created by invitation from FIWB Solutions only, for the staff of our clients and for FIWB staff. An account is personal to the person it was issued to and may not be shared. Where two-factor authentication is enabled, your recovery codes are shown to you once; anyone holding one can sign in without your authenticator app, so you are responsible for keeping them private. You can delete your account at any time from Settings in the portal or the app. Deletion is self-service and cannot be reversed; tickets, comments, feature requests, and files you filed remain the client business's records, shown as written by "Deleted user". Section 12 of our Privacy Policy describes exactly what deletion removes and what remains.

FIWB Solutions is not responsible for losses caused by your failure to protect credentials, devices, accounts, API keys, local systems, third-party accounts, hosting accounts, or administrative access.
We may suspend, disable, rotate, or restrict access if we believe an account, credential, API key, system, or integration has been compromised or is being misused.
You are responsible for providing accurate, complete, and timely information required for FIWB Solutions to perform services.
Your responsibilities may include:
FIWB Solutions is not responsible for delays, errors, legal issues, security issues, or failed launches caused by incomplete information, delayed feedback, incorrect instructions, inaccessible accounts, missing approvals, client-side configuration issues, or third-party platform issues.
The scope of each project is limited to what is expressly stated in the applicable proposal, quote, invoice, statement of work, written plan, or accepted project terms.
Work outside the agreed scope may require additional fees, timeline changes, or a new agreement. Out-of-scope work may include:
FIWB Solutions may decline or delay out-of-scope work until additional terms, timeline, and payment are agreed.
Any timeline, launch date, completion estimate, or delivery schedule is an estimate unless expressly stated as a binding deadline in a signed agreement.

FIWB Solutions is not liable for delays caused by clients, third-party providers, app stores, hosting providers, DNS providers, payment processors, email providers, database providers, AI tools, APIs, internet service providers, or other parties outside our reasonable control.
Fees will be stated in the applicable proposal, quote, invoice, subscription plan, service agreement, or written communication.
Where we bill through Whop, your purchase is also subject to Whop's own terms, and Whop, not FIWB Solutions, holds your payment card or bank details. Invoices and services recorded in the Client Portal are a record of what was agreed and paid; the underlying agreement is the proposal, statement of work, or invoice itself.
Unless otherwise agreed in writing:
FIWB Solutions may charge late fees, collection costs, or administrative fees where permitted by law and stated in the applicable invoice or agreement.
Refunds are not guaranteed unless expressly stated in a written agreement.
Because FIWB Solutions provides custom software, development, consulting, design, configuration, integration, hosting, support, and technical services, payments for completed work, deposits, setup fees, consultation time, third-party costs, hosting costs, licensing costs, and custom development are generally non-refundable.
If a refund is approved, it may be reduced by:
You are responsible for all applicable taxes, fees, duties, levies, and government charges related to your purchase or use of our services.
You are also responsible for third-party costs unless expressly included in writing. Third-party costs may include:
FIWB Solutions is not responsible for increases in third-party pricing, usage-based overages, account suspensions, policy changes, or billing disputes caused by third-party platforms.
Our own website and Client Portal are hosted on Vercel, with Supabase providing the database, authentication, file storage, and server functions behind them. For client projects, FIWB Solutions may host, deploy, configure, maintain, or support systems using AWS, Vercel, Supabase, or other cloud providers depending on the project.
Unless a specific service-level agreement is signed, FIWB Solutions does not guarantee uninterrupted hosting, uptime, speed, availability, disaster recovery, or data restoration.

You are responsible for ensuring that your hosting plan, infrastructure, storage, bandwidth, database resources, email volume, and security requirements are appropriate for your business needs unless FIWB Solutions has expressly agreed in writing to manage those responsibilities.
FIWB Solutions may design, build, migrate, support, or connect databases including MongoDB, Supabase, SQL databases, PostgreSQL, MySQL, Microsoft SQL Server, SQLite, or other database technologies.
Unless expressly agreed in writing, you are responsible for:
FIWB Solutions is not liable for inaccurate, incomplete, outdated, corrupted, unauthorized, unlawful, or improperly provided data.
FIWB Solutions may configure or support email integrations using Resend, SMTP, business email providers, transactional email providers, or client-provided email systems.
You are responsible for ensuring that your email use complies with applicable email laws, anti-spam laws, privacy laws, platform policies, and recipient consent requirements.
FIWB Solutions does not guarantee:
You may not use FIWB Solutions systems or integrations to send spam, phishing emails, fraudulent emails, malware, unlawful marketing, deceptive messages, or unauthorized communications.
If you use an API, webhook, developer tool, automation, or integration provided, developed, hosted, maintained, or supported by FIWB Solutions, you agree not to:
FIWB Solutions may monitor API usage and may suspend, throttle, revoke, rotate, or restrict API access to protect systems, users, clients, infrastructure, or third-party services.
The FIWB Portal app is our own app for iOS and Android and gives you the same Client Portal account on a phone. It is provided to you under these Terms and under the Apple App Store or Google Play terms that apply to any app you install from those stores; where those store terms require a minimum set of end-user rights, those rights apply. The app is for the staff of our clients and for FIWB staff; it is not offered to the public. You may attach photos and files to tickets through it, and Section 21 applies to everything you attach.
FIWB Solutions may also design, build, publish, maintain, or support mobile applications for iOS, Android, or other platforms for clients.
Unless expressly agreed in writing, FIWB Solutions does not guarantee:
Apple, Google, and other platform providers may reject, remove, suspend, or restrict apps for reasons outside FIWB Solutions' control.
Clients are responsible for ensuring that app store listings, privacy disclosures, data safety forms, screenshots, descriptions, age ratings, permissions, subscriptions, in-app purchases, and legal notices are accurate unless FIWB Solutions has expressly agreed in writing to prepare or maintain them.
FIWB Solutions may design, build, maintain, or support desktop applications for Windows, macOS, Linux, or other environments.
Desktop applications may interact with:
Unless expressly agreed in writing, you are responsible for securing the local environment, including computers, user accounts, local networks, device permissions, antivirus tools, firewalls, backups, printers, scanners, and local databases.
FIWB Solutions is not responsible for failures caused by unsupported operating systems, local device issues, driver issues, printer issues, scanner issues, network issues, user permissions, malware, corrupted local files, or client-side hardware problems.
The Client Portal at portal.fiwbsolutions.com is where our clients raise support tickets and feature requests, exchange files with us, and see their projects, shared documents, contracts, and invoices. Tickets, comments, attachments, and feature requests you create there are business records of the client organization you belong to; they are visible to the other members of that organization and to FIWB staff, and they remain part of that organization's records if you later leave it or delete your account. Do not put passwords, payment details, or other secrets in them. FIWB may archive, restrict, or remove content in the portal that is unlawful, abusive, or unrelated to the services.
FIWB Solutions may also design, build, host, maintain, or support websites and web applications for clients.
Unless expressly agreed in writing, FIWB Solutions does not guarantee:
You are responsible for reviewing all website content, legal pages, forms, disclosures, pricing, claims, images, videos, policies, and user-facing information before publication.
FIWB Solutions may use AI-assisted tools, automation, machine-assisted workflows, code assistants, content tools, design tools, testing tools, analysis tools, or productivity tools to support development, documentation, design concepts, troubleshooting, debugging, planning, consulting, and business operations.
AI-generated or AI-assisted outputs may be inaccurate, incomplete, outdated, biased, insecure, infringing, misleading, or unsuitable for production use without human review.
You agree that AI-assisted outputs should be reviewed, tested, validated, and approved before use in production, marketing, legal documents, regulated decisions, customer communications, financial decisions, medical decisions, employment decisions, or other important business activities.
AI-assisted outputs are not legal, financial, medical, tax, regulatory, cybersecurity, insurance, investment, or professional advice unless expressly provided by a qualified professional under a separate written agreement.
FIWB Solutions does not intentionally use confidential client production data, private user data, credentials, secrets, regulated sensitive data, or protected information to train public AI models unless authorized in writing and subject to appropriate safeguards.
You are responsible for ensuring that any data, prompts, files, images, content, code, or materials you provide for AI-assisted work are lawful, authorized, accurate, and do not violate privacy rights, intellectual property rights, confidentiality obligations, contractual restrictions, or applicable law.
Ownership and copyright protection for AI-assisted outputs may be uncertain and may depend on human contribution, applicable law, third-party tool terms, model provider terms, and the specific facts of the work.
Unless expressly stated in a signed written agreement, FIWB Solutions does not guarantee that AI-generated or AI-assisted outputs are copyrightable, non-infringing, exclusive, registrable, or free from third-party claims.
AI systems may be vulnerable to prompt injection, hallucination, data leakage, model manipulation, insecure code generation, hidden instructions, malicious content, deepfakes, impersonation, and other risks.
You agree not to use FIWB Solutions systems, APIs, apps, or services to create, distribute, or facilitate unlawful, deceptive, abusive, infringing, harmful, fraudulent, defamatory, exploitative, or malicious AI-generated content.
If you request FIWB Solutions to build, connect, or deploy AI features into your software, you are responsible for identifying applicable legal, privacy, industry, regulatory, ethical, and business requirements unless FIWB Solutions expressly agrees in writing to provide compliance services.
FIWB Solutions may refuse, pause, or limit AI-related work that presents unacceptable legal, ethical, security, privacy, platform, or reputational risk.
FIWB Solutions retains ownership of its pre-existing intellectual property, including:
Nothing in these Terms transfers FIWB Solutions' pre-existing intellectual property unless expressly stated in a signed written agreement.
You retain ownership of materials you provide to FIWB Solutions, such as logos, brand assets, images, text, data, business records, customer records, product information, and other client-owned materials.
You grant FIWB Solutions a limited license to use, copy, modify, host, process, transmit, display, and create derivative works from those materials as necessary to provide services.
You represent that you have the rights required to provide those materials to FIWB Solutions.
Unless otherwise stated in a signed written agreement, upon full payment, FIWB Solutions grants the client a license to use the final custom deliverables created specifically for that client for the intended business purpose.
Ownership transfer, source code transfer, exclusive rights, resale rights, sublicensing rights, white-label rights, or full assignment of intellectual property must be expressly stated in writing.
FIWB Solutions may withhold source code, admin access, production credentials, exports, deployment packages, or final files until all amounts due are paid.
Software and deliverables may include third-party components, open-source packages, libraries, SDKs, APIs, fonts, stock assets, plugins, templates, frameworks, AI tools, or other external materials.
Third-party materials are governed by their own licenses, terms, restrictions, and fees. FIWB Solutions does not transfer ownership of third-party materials.
You are responsible for complying with third-party license requirements applicable to your use of the deliverables.
Unless prohibited by a written confidentiality agreement, FIWB Solutions may reference completed work, business name, project type, screenshots, summaries, or general project descriptions in portfolios, proposals, case studies, marketing materials, or business development materials.
FIWB Solutions will not intentionally disclose sensitive client data, private credentials, confidential database records, or protected personal information in portfolio materials.
You are solely responsible for content, data, files, materials, records, prompts, images, videos, documents, code, databases, and other information you provide or make available to FIWB Solutions.
You represent and warrant that:
FIWB Solutions may remove, refuse, restrict, or disable access to content that appears unlawful, harmful, infringing, abusive, fraudulent, malicious, or inconsistent with these Terms.
Each party may receive confidential information from the other party.

Each party agrees to use reasonable care to protect confidential information and not disclose it except as necessary to perform services, comply with law, enforce rights, or as otherwise authorized.
Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from a third party, or already known without confidentiality obligations.
Your use of FIWB Solutions services is also governed by our Privacy Policy.
The Privacy Policy explains how FIWB Solutions may collect, use, share, store, and protect information across websites, apps, APIs, databases, integrations, hosting environments, email systems, AI-assisted workflows, and client services.
If FIWB Solutions processes personal information on behalf of a client, a separate data processing agreement may be required.
Clients are responsible for ensuring that their own privacy policies, terms, app store disclosures, user notices, cookie notices, consent forms, data safety forms, and legal disclosures accurately reflect their actual data practices.
This website uses Google Analytics, including Google Analytics Advertising Features. Google automatically collects additional data about your traffic and associates it with the visitation information Google Analytics already collects, in order to provide additional insights about our users, including aggregated age, gender, interest, and cross-device reporting. Section 6 of our Privacy Policy and our Cookie Policy describe exactly what is collected, when it is allowed to run, and how to switch it off. The Client Portal and the FIWB Portal app run no analytics.
Where FIWB Solutions configures Google Analytics or comparable analytics on a client's website or application, the client remains responsible for obtaining the privacy disclosures, consents, and end user rights that Google and applicable law require for that collection and processing, including the association of analytics data with data collected by Advertising Features. FIWB Solutions can implement a consent mechanism on request, but implementing one does not transfer that responsibility.
FIWB Solutions uses reasonable technical, administrative, and organizational measures designed to protect systems and information.
However, no website, app, API, database, hosting environment, email system, cloud provider, AI tool, or software platform is completely secure.
FIWB Solutions does not guarantee that systems will be free from:
You are responsible for maintaining appropriate security controls for your own business, users, devices, accounts, credentials, networks, local systems, data, and third-party platforms.
Unless expressly included in a written agreement, FIWB Solutions is not responsible for maintaining backups of your data, website, application, database, emails, files, local systems, or cloud systems.
Even where backups are configured, FIWB Solutions does not guarantee that every file, record, version, message, or database entry can be restored.
You are responsible for maintaining your own backup and disaster recovery strategy appropriate for your business needs.
Support and maintenance are provided only if included in a proposal, invoice, subscription, maintenance plan, service agreement, or written arrangement.
Support may not include:
FIWB Solutions may require a separate maintenance plan or support agreement for ongoing updates, monitoring, hosting support, backups, security patches, or technical assistance.
FIWB Solutions services may depend on third-party services, including:
FIWB Solutions is not responsible for third-party service outages, data loss, pricing changes, policy changes, security incidents, billing disputes, API changes, deprecations, suspensions, account terminations, or provider errors.
Your use of third-party services is governed by their own terms and policies.
FIWB Solutions provides technology services. Unless expressly agreed in writing, FIWB Solutions does not provide legal advice, regulatory advice, tax advice, financial advice, cybersecurity certification, accessibility certification, HIPAA certification, PCI-DSS certification, SOC 2 certification, FedRAMP certification, or other formal compliance certification.
You are responsible for determining and complying with laws and regulations applicable to your business, industry, users, data, marketing, payments, communications, accessibility, privacy, security, employment, taxes, and operations.
You should consult qualified legal, tax, compliance, cybersecurity, accessibility, or regulatory professionals where appropriate.
You may not use FIWB Solutions services to:
FIWB Solutions may suspend or terminate services if we reasonably believe these Terms have been violated.
FIWB Solutions may provide beta, experimental, test, prototype, staging, or pre-release features.
These features may be incomplete, unstable, insecure, unavailable, inaccurate, or subject to change.
Beta or experimental features are provided as-is and should not be used for mission-critical, regulated, safety-critical, or production purposes unless expressly approved in writing.
FIWB Solutions services are provided on an "as is" and "as available" basis unless expressly stated otherwise in a written agreement.
To the fullest extent permitted by law, FIWB Solutions disclaims all warranties, express or implied, including warranties of:
FIWB Solutions does not guarantee that any website, app, API, database, integration, email system, AI-assisted output, or software system will be uninterrupted, secure, error-free, legally compliant, or suitable for every use case.
To the fullest extent permitted by law, FIWB Solutions will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including damages for:
To the fullest extent permitted by law, FIWB Solutions' total liability for any claim related to the services will not exceed the amount paid by you to FIWB Solutions for the specific service giving rise to the claim during the three months before the event giving rise to liability.

FIWB Solutions is not liable for delay or failure to perform caused by events beyond our reasonable control, including:
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, unless another governing law is required by a signed written agreement. FIWB Solutions LLC is a Delaware limited liability company.
Any dispute arising from or relating to these Terms or FIWB Solutions services will be brought in the state or federal courts located in Delaware, unless otherwise required by law or agreed in writing.
Before filing a lawsuit, the parties agree to attempt in good faith to resolve disputes through written notice and informal negotiation.
A party asserting a dispute must provide written notice describing the dispute, requested resolution, and supporting details.
The parties will attempt to resolve the dispute within 30 days after notice unless urgent legal relief is required.
FIWB Solutions may seek immediate injunctive or equitable relief for unauthorized system access, intellectual property misuse, confidentiality violations, non-payment, security threats, or misuse of services.
FIWB Solutions may update these Terms from time to time.
When we update these Terms, we will revise the "Last Updated" date. The Client Portal and the FIWB Portal app link to these Terms rather than reproducing them; the version in force is the one published at fiwbsolutions.com, on the date shown at the top.
If changes are material, we may provide additional notice where appropriate.
Continued use of our services after the updated Terms become effective means you accept the updated Terms.
FIWB Solutions will not use changes to these Terms to retroactively authorize materially different use of personal information without appropriate notice or consent where required by law.
If any provision of these Terms is found unenforceable, invalid, or unlawful, the remaining provisions will remain in effect.
The unenforceable provision will be interpreted or modified to the minimum extent necessary to make it enforceable while preserving the original intent as closely as possible.
FIWB Solutions' failure to enforce any provision of these Terms does not waive our right to enforce that provision later.
Any waiver must be in writing and apply only to the specific instance identified.
You may not assign or transfer your rights or obligations under these Terms without FIWB Solutions' prior written consent.
FIWB Solutions may assign or transfer these Terms in connection with a merger, acquisition, sale of assets, reorganization, change of control, or business transfer.
